This API Key Usage Agreement (hereinafter referred to as “this Agreement”) applies to your use of API Key services on the Biconomy Exchange platform. This Agreement becomes effective upon your use of the API Key, your confirmation of acceptance of its terms, or upon receiving a notification from Biconomy Exchange (including clicking “Agree” or performing other relevant actions).
Important Notice:
•Biconomy Exchange API services are only available to specific users; regular users are not authorized to apply for or use API-related functions.
•API Keys are restricted to users who meet Biconomy Exchange qualification requirements and must undergo rigorous review and authorization.
•In the event of any conflict between this Agreement and other Biconomy Exchange agreements, unless otherwise stated, the terms of this Agreement shall take precedence concerning API Key-related services.
1. Definitions
1.1 API Key
An API Key is a unique identifier (including API Key, public key, private key, or digital signature technology) that allows the API Key holder to access Biconomy Exchange platform features programmatically. The user is fully responsible for the security, confidentiality, and lawful use of the API Key. Biconomy Exchange is not liable for any loss resulting from improper use or disclosure of the API Key, including but not limited to:
•Unauthorized access
•Data breaches
•Financial loss
Security Requirements:
•Users must implement effective security measures to protect their API Key from loss, theft, hacking, or unauthorized access.
•If the API Key is misused, leaked, or poses a security risk, users must immediately report it to
Biconomy Exchange and take necessary actions.
Usage Responsibility:
•The API Key holder is solely responsible for any actions or transactions executed using the API Key. Biconomy Exchange assumes no liability for any damages or losses.
•Any person accessing a Biconomy Exchange account through an API Key is considered an authorized party by the API Key holder, and all actions will be the sole responsibility of the holder.
1.2 Biconomy Exchange Technology
Biconomy Exchange API technology includes but is not limited to:
•Software, scripts, algorithms, databases, and user interfaces
•Biconomy Exchange platform’s core technology and system architecture
•API-related intellectual property, trade secrets, and innovations
Biconomy Exchange retains full ownership of API technology and intellectual property. Users must not copy, modify, reverse-engineer, sell, or use API-related technology without authorization.
1.3 Intellectual Property
The API Key and related technologies are protected under intellectual property laws, including but not limited to:
•Patents, trademarks, copyrights
•Database rights and software rights
•Trade secrets and proprietary technologies
Biconomy Exchange reserves all intellectual property rights. Without written authorization, users must not use, copy, modify, or share API Key-related content.
1.4 Sanctions
Users are strictly prohibited from:
•Using the API Key in sanctioned countries (such as Iran, North Korea, etc.).
• Violating sanctions imposed by the U.S., EU, UN, or other international bodies.
•Illegally transferring or sharing API Keys. Violation of these terms may result in immediate termination of API Key access and legal action.
2. API Key Usage License
Biconomy Exchange grants qualified users a limited, revocable, non-transferable, and non-sublicensable API Key license for:
•Integrating with the Biconomy Exchange platform
•Enabling automated trading, market data analysis, and other functions
Usage Restrictions:
•API Key access is limited to authorized users within compliant usage scenarios. Regular users are not eligible to apply for an API Key.
•Users must not:
•Reverse-engineer or decompile the API Key or related data
•Attempt to access or breach Biconomy Exchange-controlled data
•Use the API Key for illegal activities (e.g., market manipulation, insider trading, money laundering)
•Share or allow unauthorized third parties to use the API Key
Violations will result in immediate termination of API Key access and legal action.
3. Risks of Using API Key
Using an API Key carries certain risks. Users must ensure that the API Key is used only by authorized individuals and must implement necessary security measures, including:
• Using the API Key only for its designated purpose
•Enabling an IP address whitelist to prevent unauthorized access
• Avoiding storage of API Keys in public repositories (e.g., GitHub, cloud storage)
• Not sharing the API Key with untrusted third parties
• Regularly reviewing API Key security and immediately replacing compromised keys
Users bear full responsibility for API Key security. Biconomy Exchange is not liable for data breaches, account losses, or financial damages resulting from user negligence.
4. Authorization
•Any transaction, data request, or operation executed using an API Key is considered authorized by the user. Biconomy Exchange assumes no liability.
•Biconomy Exchange may share or grant access to relevant data based on user activity and API Key usage.
5. API Key Revocation
Biconomy Exchange reserves the right to revoke or disable API Key access at any time without prior notice. Users may request to disable their API Key following Biconomy Exchange procedures.
6. Limitation of Liability
Biconomy Exchange is not responsible for:
• Indirect, incidental, special, or consequential damages (e.g., failed transactions, lost profits).
• Technical failures or service disruptions related to API services.
• Theft, misuse, or unauthorized access of API Keys.
Biconomy Exchange liability is limited to the scope specified in this Agreement.
7. Indemnification
Users must compensate:
•Biconomy Exchange and its affiliates
•Biconomy Exchange executives, employees, and partners
For damages arising from:
• Violation of this Agreement
• Unauthorized or improper use of API Key
Compensation includes but is not limited to:
• Legal fees
• Regulatory fines
• Direct or indirect financial losses
8. API Key Termination
Biconomy Exchange may terminate API Key access at any time. Upon termination:
• Users must immediately stop using the API Key.
•Biconomy Exchange is not responsible for any losses resulting from API Key termination.
9. API Service Availability
Biconomy Exchange does not guarantee that the API Key service will be error-free, uninterrupted, or continuously available. Users must independently assess API availability.
10. Legal Compliance
•Users must strictly comply with applicable laws and must not engage in money laundering, terrorist financing, market manipulation, or other illegal activities.
•Biconomy Exchange reserves the right to audit API Key usage and may require compliance proof from users.
11. Agreement Modification
Biconomy Exchange may update this Agreement at any time and will publish the latest version on its website. Users are responsible for reviewing changes regularly. Continued use of the API Key constitutes acceptance of the latest terms.
12. Scope of Agreement
This Agreement constitutes the full agreement between the user and Biconomy Exchange regarding API Key usage and supersedes any prior or concurrent agreements.
Important Reminders:
API is available only for specific users; regular users are not eligible.
API Key must remain confidential and must not be shared.
Users assume all risks associated with API transactions; Biconomy Exchange is not responsible.
Biconomy Exchange reserves the right to revoke API Key access and terminate services at any time.
